These White Bison Terms of Service apply if you reside in the European Economic Area (EEA), Switzerland, or the UK.
These White Bison Terms of Service (“Terms”) are between you and White Bison Solutions GmbH (“White Bison,” “we,” “us,” or “our”). We are located at White Bison Solutions GmbH, Leutschenbachstrasse 95, 8052, Zurich, Switzerland, and you can contact us by email at info@whitebison.io. By registering for an account on our Service (including by clicking “Sign Up” or any similar button on the offer or on the whitebison.io page), you agree to be bound by these Terms. These Terms apply to your access to and use of White Bison’s website and other services offered by White Bison, such as e.g. GDPR compliance subscriptions, or LawGrid app and platform.
These Terms and Conditions also constitute the regulations for the provision of services by electronic means, as referred to in Article 8 of the Act of 18 July 2020 on the provision of services by electronic means.
With regard to the administration of the Website, we may process Users’ Personal Data. Users’ Personal Data shall be processed by the Company in compliance with the requirements of generally applicable law, in particular Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons in relation to the processing of personal data and on the free movement of such data and repealing Directive 95/46/EC (General Data Protection Regulation).
The Service website operates on the basis of “cookies” technology. The rules governing the use of cookies by the us are contained in the Privacy Policy available at the following web address https://whitebison.io/privacy-policy/.
We may make changes to these Terms from time to time. The “Last Updated” date above indicates when these Terms were last changed.
If you are based in the UK, Switzerland or any country in the EEA, we may make changes to these Terms if there is a valid reason for the amendment, taking into account the interests of both us and you, including, but not limited to:
Improving the Terms to make them clearer or easier to understand, or to have all our customers on the same Terms;
Complying with legal or regulatory requirements, such as mandatory laws that apply to us and our agreement with you, or where we are subject to a court order or judgment;
Providing you with additional information about the Services; and
Ensuring the continued performance of this contract for the Services.
Except where changes to the Terms will not have any material legal effect or are changes required by law, we will notify you of the changes 30 days prior to them coming into effect.
Description of Services: The services provided by White Bison are detailed in the offer sent to the client, which is annexed to these Terms. This includes GDPR compliance, active monitoring, serving as an EU GDPR representative, Data Protection Officer services, and hands-on work on customer documents and cases.
Additional Services: Any services beyond the scope of the subscription will be priced on an individual basis and must be pre-agreed with the customer.
Subscription Packages: Our subscriptions are offered for a one-year term, billed monthly at the beginning of each month. The subscription service starts upon successful payment. The specific services and scope are regulated by the offer sent to the client, which is annexed to these Terms.
Limits of Use: Each hour of consultation can be split into a maximum of two appointments or used for replies to ongoing questions. Each started half-hour counts as a 30-minute consultation. Time includes activities such as active monitoring, serving as an EU GDPR representative and Data Protection Officer, hands-on work on customer documents and cases, and replies to messages.
Services Beyond Subscription: Services beyond the subscription are priced individually. If not agreed upon otherwise, the referential hourly rate for such services is $500 + VAT. Additional projects must be pre-agreed upon by the customer.
Billing Cycle: Subscriptions are billed monthly at the beginning of each month.
Initial Payment: Services commence upon successful payment of the initial subscription fee.
Late Payments: In the event of late payments, interest will accrue according to Swiss law rates. The obligation may be sold to a collection agency.
Quality of Service: We provide our services with the utmost professionalism and due care for the interests of our customers.
Conflicts of Interest: If any conflicts of interest arise, White Bison will disclose them and act in the best interest of the client.
Automatic Renewal: Subscriptions automatically renew for another year unless the customer cancels at least one month before the end of the current term.
Termination for Breach: The agreement can be terminated in case of a serious breach. Parties have 14 days to remedy the breach once it is notified.
Confidentiality Obligation: Each party will protect the confidential information of the other party with the same degree of care that it uses to protect its own confidential information, but in no event less than reasonable care.
Disclosure Limitation: Confidential information may only be disclosed to employees, consultants, and agents who need to know such information and who are bound by confidentiality obligations at least as restrictive as those contained herein.
Waiver of Responsibility: White Bison provides consultancy services that are not considered legal advice. We are not liable for decisions made based on our consultancy.
Independent Relationship: The relationship between the parties is that of independent contractors. This agreement does not create an employment relationship.
Notices: All notices under the agreement must be in writing.
Good Faith Resolution: In the event of a dispute, both parties agree to resolve conflicts in good faith and amicably.
Dispute Resolution: In the case of a dispute, conflicts should be resolved amicably and in good faith, and be subject to arbitration based on VIAC Rules of Arbitration and Mediation.
Governing Law: This agreement is governed by Swiss law, and any disputes arising from or relating to these terms shall be subject to the exclusive jurisdiction of the courts located in Zurich, Switzerland, except as otherwise agreed by the parties in writing.
Use of the website is voluntary and free of charge for all Users.
The user may terminate the use of the Service at any time.
The agreement for the provision of access to the website is concluded under the terms and conditions specified in these Terms and Conditions, for an indefinite period of time, at the moment when the User effectively calls up the URL of the Service in the browser window of his/her device, or when the User uses the redirection leading to the Service (i.e. when he/she enters the Service); in this case, the agreement for the provision of access to the Service is terminated when the User leaves the Service.
The User may terminate any contract for the provision of website at any time, without giving reasons, with immediate effect.
The User’s use of the website with the Service Owner is conditional on the User reading these Terms of Service and accepting them without modification or qualification.
The website is for informational purposes and is used to present the White Bison’s offers and promotional materials.
The information provided on the website does not, and is not intended to, constitute legal advice; instead, all information, content, and materials available on this site are for general informational purposes only.
The User undertakes not to convey any illegal content through the website. Each User is obliged to use it in compliance with law and the principles of good mores, having in mind the respect for personal rights and intellectual property rights of third parties.
In order to use the website, the User should comply with the following requirements:

Your computer or mobile device must have access to the Internet;

The White Bison does not guarantee and is not responsible for the fact that each of the above-mentioned combinations of technical conditions will always make it possible to use the website.
Welcome to the LawGrid app provided by White Bison, available at lawgrid.app and dashboard.lawgrid.app (“App”). By using the App, you agree to the following Terms of Service (“Terms”). These Terms are part of our broader Terms of Service and should be read in conjunction with our full terms and conditions.

The subscription is for one month and is renewed monthly. If we raise the price for the monthly subscription, we will inform you at least 14 days before the raise so you can decide whether to continue and pay a new price or resign from the subscription. Unless we have your explicit agreement, we will not charge the new price, but the access to the app will be severed.
The Chat Service provides limited legal support as follows:
Responses are provided within 24 hours on business days.
Inquiries addressed include those specific to legal document generation and straightforward legal questions.
If an inquiry is too complex or beyond the scope of chat, we may recommend a paid legal consultation.
We reserve the right to determine if a question falls outside of the Chat Service’s scope, based on good faith judgment.
The Chat Service must be used in good faith. Abuse of the service may result in suspension of access.
No Legal Advice: The App, its features, and all content, including Chat Service responses, do not constitute legal advice and should not be relied upon as such.
User Responsibility: Users are solely responsible for their use of the App and any outcomes from using the generated documents or guidance.
Indemnification: Users agree to indemnify White Bison against foreseeable damages resulting from App usage.
Limitation of Liability: White Bison disclaims all liability for damages arising from App use or reliance on its content.
The White Bison provides free of charge an electronic service in the form of a legal newsletter which consists of sending marketing and expert information as well as information about upcoming events to the users. The agreement for the Newsletter service is concluded by filling in the Newsletter subscription form. The User may unsubscribe from the Newsletter service at any time by:

In electronic form via an active link each time placed in the footer of each message sent within the Newsletter service marked as “unsubscribe”.
The User may send all objections in the form of complaints on matters related to the use of website specified in these Terms of Service to the White Bison’s e-mail address: info@whitebison.io. All complaints relating to the provision of electronic services will be handled witWhite Bison shall send its response to the complaint to the e-mail address indicated by the User in the complaint or, in the case of a complaint submitted by post, to the postal address indicated by the User. The user has the right to submit a complaint in order to resolve a possible dispute with White Bison via the EU online platform (ODR platform) at: https://ec.europa.eu/consumers/odr.

Access to the Terms of Service shall be provided free of charge via the Website. The use of the Service is subject to Swiss law and the jurisdiction of Swiss courts. In matters not regulated herein, the provisions of Swiss law shall apply. None of the provisions of these Terms of Service restricts the rights of the Consumer or Entrepreneur – on the rights of the Consumer, which he/she is entitled to on the basis of the legal provisions in force in the territory of the Company shall be subject to the exclusive jurisdiction of the court having jurisdiction over the location of the Service Owner.
